Copyright Transfer Policy


This policy outlines the conditions under which Machi-Systems, LLC transfers copyright ownership of digital assets created during our engagements. This transfer is contingent upon the fulfillment of both contractual and financial obligations, as detailed below.

Contractual Prerequisites

  1. Master Service Agreement (MSA) and Statement of Work (SOW): It is typical required for clients to sign a Master Service Agreement (MSA) and a Statement of Work (SOW) outlining specific project details. We understand that in some cases, work may commence before these documents are formally signed. However, for the copyright transfer process to be initiated, both documents must be executed and on file with Machi-Systems, LLC.

Financial Obligations

  • Clients must settle all financial obligations as detailed in the SOW. This includes any additional charges incurred during the project such as fees for extra services, clerical efforts, or unforeseen costs. Full settlement of these obligations is required before the copyright transfer can proceed.
  1. Project Completion and Review: Upon completion of the project, a review will take place to ensure all services have been delivered as per the SOW. This is followed by the preparation of a Client or Project Closeout Report which includes the Copyright Transfer Agreement (CTA).
  2. Execution of the Copyright Transfer Agreement (CTA): This agreement is a part of the Closeout Report and must be signed by the client to finalize the transfer of copyrights.
  3. Access and Transfer of Digital Assets: Following the execution of the CTA and the settlement of all accounts, Machi-Systems, LLC. will grant the client administrative and server access along with a complete backup of all pertinent project files.

Changes to the Policy

  • Machi-Systems, LLC reserves the right to update or modify this policy at any time. All clients will be notified of any significant changes that may affect their rights or obligations.
